Associate General Counsel

Our legal team at Constellation is growing.  The Associate General Counsel will report to the Chief Legal Officer, General Counsel and assume a key role within the legal and business operations of this publicly traded, late-stage development, biotechnology company.  The AGC will work cross-functionally, advising internal clients, drafting and negotiating contracts with external parties, reviewing policies, communications and filings, and supporting the General Counsel with general legal matters.  This position requires a strong track record in legal drafting, oral and written communication skills, negotiation and client service.  This is an excellent opportunity for the right candidate to join a growing department and have a meaningful organizational impact within a highly collaborative organization. In this role, you will:

  • Draft, review, and negotiate technology transfer agreements, research and clinical collaborations, manufacturing and supply agreements, and similar biotechnology agreements
  • Support and advise contract attorney and paralegal in the review and negotiation of clinical trial agreements and various vendor agreements and work orders
  • Collaborate with Business Development team in drafting and negotiating term sheets, MTAs, and other strategic collaborations with potential business partners
  • Draft and review securities filings in collaboration with the General Counsel, Finance team, and outside counsel
  • Collaborate with G&A partners on employment, corporate strategy, finance, IT and similar matters to maximize shareholder value and advance the scientific mission of the organization
  • Work cross-functionally to provide legal representation and guidance on various ad-hoc review teams, including program teams, corporate and medical review teams
  • Advise medical, scientific, commercial and business personnel with respect to FDA and similar regulatory matters, including privacy, clinical and pre-commercial/commercial matters
  • Assist with review, implementation and training of internal client teams to ensure compliance with applicable laws and regulations and company policies and procedures
  • Review presentations, press releases, website materials, brochures, and other company communications (internal and external)
  • Support General Counsel with other legal matters

 

We are looking for people who have:

  • 10+ years’ experience as a practicing attorney, with at least 5 years of experience working primarily with life sciences companies
  • Significant experience and impeccable skills in drafting and negotiating the full array of life science technology-related contracts, including intricate intellectual property provisions
  • Experience dealing with the rules and regulations applicable to biotechnology products, including GXP, FDA, commercial compliance and data security matters
  • Ability to evaluate effectively legal exposure, manage risk and develop creative, client-focused solutions to achieve business goals within appropriate legal guidelines
  • Ability to communicate legal issues in a clear and understandable manner. Builds relationships across functions and inspires trust and confidence through effective communication and interpersonal skills
  • JD and current member in good standing of a U.S. state bar (Massachusetts preferred)
